Sell-side due diligence is when a business owner investigates their own company before going to market, using the same categories a buyer’s team will eventually check: financial records, customer contracts, operational processes, and key-person dependence. The goal is to find and address problems while there is still time to fix them, disclose them on the seller’s own terms, or price them into the seller’s expectations.
